These QuikPost Service Terms ("QuikPost Terms") govern Customer's access to and use of QuikPost, QuikStor's integrated mail house service. QuikPost is powered by QuikStor's integrated third-party provider, PostGrid, Inc. ("PostGrid"), and allows Customers to generate and send physical mail, including standard mail, certified mail, and mail with return-receipt tracking, directly from the QuikStor platform.
These QuikPost Terms are incorporated into and form part of the QuikStor Master Subscription Agreement between Customer and QS Software, LLC ("Provider" or "QuikStor") (the "Agreement") and the applicable Order Form. Capitalized terms used but not defined here have the meanings given in the Agreement. By selecting QuikPost on an Order Form, or by accessing or using QuikPost, Customer agrees to these QuikPost Terms. In the event of a conflict between these QuikPost Terms and the Agreement, these QuikPost Terms control with respect to QuikPost only.
1. Integrated Service; No Resale
Customer acknowledges that QuikPost is an integrated solution provided through PostGrid as a Third-Party Product, is not provided on a standalone basis from the Service as a resold service, and that such access does not permit Customer to resell, redistribute, sublicense, or use such service in any way that otherwise violates the terms of the Agreement.
2. Fees and Billing
The fees for QuikPost are set forth on the applicable Order Form. QuikPost is billed on a consumption basis. QuikStor will record Customer's and its Authorized Users' usage of QuikPost each calendar month and will bill Customer following the end of each month at the rates set forth on the Order Form based on such usage. All such fees are due immediately upon Customer's receipt of QuikStor's invoice.
Customer is responsible for all USPS and carrier-driven rate increases, which QuikStor may pass through to Customer upon written notice. Such pass-through rate increases are separate from, and not subject to, any price-increase cap or limitation set forth in the Agreement or any Order Form.
3. Mail Classification and Carrier Compliance
Customer shall, and shall require all Authorized Users to, comply with all applicable laws related to use of QuikPost and must properly classify all mail per USPS requirements. Customer is solely responsible and liable for accurately classifying all mail, providing accurate recipient addresses, and cooperating with any address validation processes. Customer shall be responsible and liable for all Losses, including any costs incurred by Provider or fines imposed on Provider, arising out of or relating to any misclassification of mail per USPS requirements or any inaccurate or invalid address or recipient data supplied by Customer.
Neither QuikStor nor PostGrid is liable or responsible for any acts, omissions, conduct, or events that take place following USPS induction, including but not limited to carrier delays, lost mail, misdelivery, or delivery failures.
Customer remains liable and responsible for all costs already incurred on partially cancelled or modified orders procured through QuikPost.
4. Certified Mail, Return Receipt, and Legal Notices
QuikPost may be used to send certified mail, mail with return-receipt tracking, and other mailings that Customer may use in connection with legal, statutory, or contractual notice obligations, including self-storage lien notices. Customer acknowledges and agrees that Customer is solely responsible for determining whether any mailing, its content, its recipients, its method, and its timing satisfy any applicable statutory, regulatory, lien, or other legal requirement.
QuikStor and PostGrid do not provide legal advice and do not warrant, represent, or guarantee that any mailing sent through QuikPost (including any certified mail or return-receipt mailing) will satisfy any statutory lien-notice requirement, any other notice requirement, or any other legal or regulatory requirement applicable to Customer. Customer is responsible for confirming all such requirements and for the legal sufficiency and timeliness of any notice, and Customer should consult its own legal counsel. QuikStor and PostGrid shall have no liability for any Losses arising out of or relating to the legal sufficiency, timing, content, or delivery of any notice or mailing.
5. Acceptable Use
Customer shall not use, and shall not permit any Authorized User or any other person to use, QuikPost to: (a) send any mailing that is unlawful, fraudulent, deceptive, defamatory, harassing, or threatening; (b) send any mailing in violation of any applicable law, regulation, USPS rule, or carrier requirement; (c) send unsolicited or misleading mailings, or mailings that misrepresent the sender or the nature of the mailing; (d) transmit any content Customer does not have the right to transmit; or (e) otherwise use QuikPost in any manner that violates the Agreement, these QuikPost Terms, or PostGrid's applicable terms. QuikStor may suspend or terminate access to QuikPost for any violation of this Section without liability.
6. Usage and Pricing Adjustments
Where QuikPost or any component of it is offered at a fixed or estimated rate, that rate is based on reasonable and expected usage consistent with the Order Form. If Customer's usage materially exceeds the volumes or usage profile on which the pricing was based, or if Customer's use is abusive, excessive, or otherwise inconsistent with normal use, QuikStor may, upon written notice to Customer, adjust the applicable fees, impose overage or usage-based charges, or impose usage limits. Any such adjustment is separate from, and not subject to, any general price-increase cap or limitation set forth in the Agreement or any Order Form. Continued use of QuikPost following such notice constitutes acceptance of the adjusted fees.
7. Disclaimer
QuikPost and all related Third-Party Products are provided "AS IS" and without warranties of any kind, as further described in the Agreement. The warranty disclaimers and limitations of liability set forth in the Agreement apply to QuikPost and are incorporated herein by reference.
