These QuikStor Communications Service Terms ("Communications Terms") govern Customer's access to and use of QuikStor's integrated communications services: QuikVoice (integrated inbound and outbound calling with call recording), SMS (inbound and outbound messaging, including any multimedia or MMS messaging, to tenants and prospects who have opted in), and Email (inbound and outbound email to tenants and prospects who have opted in). These services are powered by QuikStor's integrated third-party provider, Twilio Inc. ("Twilio"), including communications services formerly branded as SendGrid.
These Communications Terms are incorporated into and form part of the QuikStor Master Subscription Agreement between Customer and QS Software, LLC ("Provider" or "QuikStor") (the "Agreement") and the applicable Order Form. Capitalized terms used but not defined here have the meanings given in the Agreement. By selecting QuikVoice, SMS, or Email on an Order Form, or by accessing or using any of them, Customer agrees to these Communications Terms with respect to each service it uses, whether or not that service is provided for a fee. In the event of a conflict between these Communications Terms and the Agreement, these Communications Terms control with respect to these communications services only.
1. Integrated Service; No Resale
Customer acknowledges that QuikVoice, SMS, and Email are integrated solutions provided through Twilio as Third-Party Products, are not provided on a standalone basis from the Service as resold services, and that such access does not permit Customer to resell, redistribute, or sublicense the services, or otherwise use such services in any way that violates the terms of the Agreement. Customer is an end user of the Twilio-provided services through QuikStor's use of those services as a Twilio customer.
2. Fees and Billing
The fees for QuikVoice, SMS, and Email are set forth on the applicable Order Form. Customer shall be responsible for all standard messaging, calling, and email rates and any other costs or expenses QuikStor incurs related to Customer's use of these services. QuikStor will invoice Customer for any such costs or expenses in the month following the month in which they are incurred. All such fees are due immediately upon Customer's receipt of QuikStor's invoice. Where a service is provided at no charge, Customer's use remains subject to these Communications Terms.
3. Compliance with Twilio Terms
By using these integrated services, Customer agrees to comply with and be bound by all applicable Twilio terms, conditions, and policies, as updated from time to time in accordance with their terms. Without limiting the generality of the foregoing, Customer is responsible for all acts and omissions of its Authorized Users in connection with these services, and any act or omission by Customer or an Authorized User that would constitute a breach of the Twilio terms if taken by QuikStor will be deemed a breach of the Agreement by Customer. Customer is responsible for any fees, fines, costs, liabilities, penalties, or related financial or legal obligations arising under the Twilio terms, whether incurred directly by Customer or imposed on QuikStor and passed through to Customer.

4. Data Processing and Account Security
These services are built on Twilio's infrastructure. Twilio and its sub-processors will process personal data as part of providing the services, and Customer acknowledges and consents to such processing. Customer acknowledges that Customer Data will be processed by Twilio in accordance with the Twilio Data Protection Addendum and Privacy Notice linked above. Twilio may update its sub-processor disclosures as its sub-processor list changes, and QuikStor may correspondingly update any data processing terms agreed between QuikStor and Customer.
Twilio or QuikStor may require certain username and password standards for account creation and may require other security standards, such as multifactor authentication, in order to hold a user account. Neither Twilio nor QuikStor shall be liable to Customer, any Authorized User, or any other person or third party for any Security Incident or unauthorized access to Customer accounts that arises out of or results from Customer's or any Authorized User's failure to comply with such requirements.
5. Acceptable Use
Customer shall not use, and shall not permit any Authorized User or any other person to use, QuikVoice, SMS, or Email to: (a) send or transmit any communication that is unlawful, fraudulent, deceptive, defamatory, harassing, threatening, or abusive; (b) send unsolicited communications, spam, or any communication to any recipient who has not provided the required consent or who has opted out; (c) violate any applicable law, regulation, or industry standard, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, state telemarketing and call-recording laws, CTIA messaging guidelines, and carrier requirements; (d) impersonate any person or misrepresent the origin or nature of a communication; or (e) otherwise use these services in any manner that violates the Agreement, these Communications Terms, or the applicable Twilio terms. Customer is solely responsible for obtaining, maintaining, and documenting all consents and opt-ins required for its communications, for honoring opt-out and revocation requests, and for maintaining suppression and do-not-contact records. QuikStor may suspend or terminate access to any of these services for any violation of this Section without liability.
6. Service-Specific Terms
(a) QuikVoice (Calling and Call Recording). QuikVoice provides integrated inbound and outbound calling and may include call recording. Customer is solely responsible for complying with all applicable laws governing the recording, monitoring, and interception of calls, including laws that require the consent of one or all parties to a call (such as the California Invasion of Privacy Act and other all-party-consent state laws). Customer is responsible for providing all required disclosures and notifications to call participants and for obtaining all required consents before recording any call. Customer is also responsible for compliance with all applicable laws governing outbound and automated calling, including the TCPA. QuikStor and Twilio have no responsibility for determining the recording-consent or calling laws applicable to Customer's calls.
(b) SMS (and MMS). SMS provides inbound and outbound text messaging, including any multimedia (MMS) messaging, to tenants and prospects. This Section applies to all such messaging regardless of any product name used for it. Customer is responsible for obtaining and documenting prior express consent (and, where required, prior express written consent) from each recipient before sending messages, for honoring STOP, HELP, and other opt-out and help keywords, and for complying with the TCPA, CTIA messaging guidelines, 10DLC registration and brand and campaign vetting requirements, and all applicable carrier requirements. Customer is responsible for the content of all messages and for maintaining records of consent.
(c) Email. Email provides inbound and outbound email to tenants and prospects who have opted in. Customer is responsible for obtaining and documenting consent where required, for complying with the CAN-SPAM Act and all other applicable email and anti-spam laws, for including accurate header and subject-line information and a functioning unsubscribe mechanism, for honoring opt-out requests, for proper sender authentication, and for not using purchased, rented, or harvested email lists. Customer is responsible for the content of all email and for its sending reputation and deliverability practices.
7. Usage and Pricing Adjustments
Where QuikVoice, SMS, or Email is offered at a fixed monthly fee, that fee is based on reasonable and expected usage consistent with the Order Form. If Customer's usage materially exceeds the volumes or usage profile on which the pricing was based, or if Customer's use is abusive, excessive, generates deliverability or compliance issues, or is otherwise inconsistent with normal use, QuikStor may, upon written notice to Customer, adjust the applicable fees, impose overage or usage-based charges, impose usage limits, or suspend the affected service. Any such adjustment is separate from, and not subject to, any general price-increase cap or limitation set forth in the Agreement or any Order Form. Continued use of the affected service following such notice constitutes acceptance of the adjusted fees.
8. Disclaimer
QuikVoice, SMS, Email, and all related Third-Party Products are provided "AS IS" and without warranties of any kind, as further described in the Agreement. The warranty disclaimers and limitations of liability set forth in the Agreement apply to these services and are incorporated herein by reference.
