These QuikTrack Service Terms ("QuikTrack Terms") govern Customer's access to and use of QuikTrack, QuikStor's integrated competitive pricing data service. QuikTrack provides competitive pricing data powered by QuikStor's integrated third-party provider, StorTrack, Inc. ("StorTrack").
These QuikTrack Terms are incorporated into and form part of the QuikStor Master Subscription Agreement between Customer and QS Software, LLC ("Provider" or "QuikStor") (the "Agreement") and the applicable Order Form. Capitalized terms used but not defined here have the meanings given in the Agreement. By selecting QuikTrack on an Order Form, or by accessing or using QuikTrack, Customer agrees to these QuikTrack Terms. In the event of a conflict between these QuikTrack Terms and the Agreement, these QuikTrack Terms control with respect to QuikTrack only.
1. Integrated Service; No Resale
Customer acknowledges that QuikTrack is an integrated solution provided through StorTrack as a Third-Party Product, is not provided on a standalone basis from the Service as a resold service, and that such access does not permit Customer to resell, redistribute, or sublicense the service or any data derived therefrom, or otherwise use such service in any way that violates the terms of the Agreement.
2. Fees and Billing
The fees for QuikTrack are set forth on the applicable Order Form. QuikStor will bill Customer for QuikTrack at the rates and on the schedule set forth on the Order Form. All such fees are due immediately upon Customer's receipt of QuikStor's invoice.
3. Nature of Data; No Warranty
Customer acknowledges that the data accessed through QuikTrack aggregates publicly available data. Such data is provided "AS IS" and without any warranties, express or implied, including but not limited to any warranty that the data is accurate, current, error free, or complete. QuikTrack and any data, analysis, or results derived from it are provided for convenience and informational purposes only and do not constitute professional, pricing, financial, or business advice. Customer is solely responsible for any decisions it makes based on the data and should independently verify any data before relying on it.
4. Acceptable Use
Customer shall not use, and shall not permit any Authorized User or any other person to use, QuikTrack to: (a) resell, redistribute, sublicense, or commercially exploit the data or any results derived from it; (b) use the data in any manner that violates any applicable law or the rights of any third party; (c) scrape, harvest, or extract data beyond the scope of normal use of the Service; or (d) otherwise use QuikTrack in any manner that violates the Agreement, these QuikTrack Terms, or StorTrack's applicable terms. QuikStor may suspend or terminate access to QuikTrack for any violation of this Section without liability.
5. Usage and Pricing Adjustments
The fixed or recurring fee for QuikTrack is based on the property count, market coverage, and usage profile set forth on the Order Form. If Customer adds properties or markets, or if Customer's usage materially exceeds the basis on which the pricing was set, or if Customer's use is abusive, excessive, or otherwise inconsistent with normal use, QuikStor may, upon written notice to Customer, adjust the applicable fees, impose additional charges, or impose usage limits. Any such adjustment is separate from, and not subject to, any general price-increase cap or limitation set forth in the Agreement or any Order Form. Continued use of QuikTrack following such notice constitutes acceptance of the adjusted fees.
6. Disclaimer
QuikTrack and all related Third-Party Products are provided "AS IS" and without warranties of any kind, as further described in the Agreement. The warranty disclaimers and limitations of liability set forth in the Agreement apply to QuikTrack and are incorporated herein by reference.
